Terms of Service & Engineering Agreements

Effective date: September 1, 2026 • Master terms governing agency partnership engagements.

1. Scope of Engagement

These Terms of Service govern all software architecture, web development, mobile application engineering, SaaS platform builds, AI engineering, and technical maintenance performed by wswebsolution on behalf of partner agencies and technology consultancies.

2. Work-for-Hire & Unconditional IP Assignment

All software, source code, database architectures, documentation, digital assets, and inventions created by wswebsolution during paid agency milestones constitute “work made for hire.” Upon receipt of agreed milestone compensation, wswebsolution irrevocably assigns 100% of all worldwide right, title, and interest (including all patent, copyright, and trade secret rights) to the partner agency and their designated client.

3. Commercial Terms & Sprint Milestones

Fixed-scope contracts are billed based on predetermined deliverables and milestone completions agreed upon in writing. Dedicated pod retainers are invoiced at monthly wholesale intervals. Any scope modifications requested by the agency's end client are quoted as isolated technical change orders before work commences.

4. Quality Assurance & Post-Launch Warranty

wswebsolution provides a standard 30-day warranty following production deployment for all delivered code. Any functional bugs or regressions that deviate from the agreed technical specification are diagnosed and remediated at zero additional cost to the partner agency.

5. Non-Circumvention & Partner Protection

wswebsolution strictly covenants never to solicit, contract directly with, or divert any end client introduced by our partner agencies during the engagement and for a period of 24 months following the conclusion of any project.

6. Governing Law

These terms and all underlying statement of works are governed by institutional commercial standards. Any disputes shall be resolved through binding commercial arbitration in accordance with standard corporate partnership protocols.
